Terms of Use

1. Acceptance

By downloading, installing, or using AudioSnip (the "app"), you agree to these Terms of Use (the "Terms"). If you do not agree, do not use the app. These Terms form a binding agreement between you and Cradle of Life LLC, a Montana limited liability company ("we", "us", "our"), with its principal place of business at PO Box 122, Laurel, MT 59044, United States.

2. What AudioSnip Is

AudioSnip is a general-purpose audio editing tool that processes video and audio files you select from your own device. It operates entirely on your iPhone with no server component for core editing. Optional features — such as advertising on the free tier and in-app purchases for AudioSnip Pro — are supplied by third parties as described in our Privacy Policy.

3. Your Responsibilities

You are responsible for ensuring that you have the necessary rights, licenses, or permissions to use any media you process with AudioSnip. The app is designed to work with content you own or are authorized to use, such as:

AudioSnip does not monitor, restrict, or control the content you process. Responsibility for lawful use rests with you. You agree not to use AudioSnip to process content you do not have the right to use, to circumvent any copyright-protection technology, or to create content that infringes the rights of others.

4. Intellectual Property

AudioSnip and its design, code, and branding are the property of Cradle of Life LLC. You may not copy, modify, reverse-engineer, or redistribute the app except as permitted by applicable law and by the Apple Standard EULA (see Section 10). Content you create using AudioSnip belongs to you, subject to any rights held by original content owners. We claim no ownership of your media.

5. AudioSnip Pro — Purchases and Subscriptions

AudioSnip is free to use with optional in-app purchases that unlock "AudioSnip Pro". Two options are offered at the prices displayed at the time of purchase:

Annual subscription terms:

Any payment for an in-app purchase is taken by Apple, charged to the payment method associated with your Apple ID, and is governed by the Apple Media Services Terms and Conditions. This is in addition to these Terms.

6. EU / EEA / UK / Swiss Right of Withdrawal

If you are a consumer resident in the European Union, European Economic Area, the United Kingdom, or Switzerland, you generally have fourteen (14) days from the date of purchase to withdraw from a distance-sold digital service without giving any reason (Directive 2011/83/EU, UK Consumer Contracts Regulations 2013, equivalent Swiss consumer-protection rules).

Express consent and waiver. By choosing to start using AudioSnip Pro features immediately after purchase, you expressly consent to the immediate performance of the digital service and acknowledge that you will lose the 14-day right of withdrawal once the service has been fully supplied. If you do not wish to waive this right, do not use any Pro-only feature before the 14-day period expires and instead contact Apple to request a refund.

7. No Warranty

AudioSnip is provided "as is" and "as available" without warranties of any kind, express or implied, including without limitation implied warranties of merchantability, fitness for a particular purpose, non-infringement, or that the app will be error-free, uninterrupted, or secure. This Section is subject to Section 9 (Statutory Rights).

8. Limitation of Liability

To the maximum extent permitted by applicable law, Cradle of Life LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of AudioSnip, including but not limited to loss of data, loss of content, or lost profits, even if advised of the possibility of such damages. Our total aggregate liability for direct damages arising under these Terms shall not exceed the greater of (a) the amount you paid us for the app in the twelve months preceding the claim, or (b) USD $50. This Section is subject to Section 9 (Statutory Rights).

9. Statutory Rights

Nothing in Sections 7 or 8, or elsewhere in these Terms, limits or excludes any non-waivable consumer rights you have under the law of your country of residence, including without limitation the UK Consumer Rights Act 2015, the EU Consumer Rights Directive 2011/83, the EU Digital Content Directive 2019/770, California Civil Code §§ 1790 et seq. (Song-Beverly Consumer Warranty Act), and any equivalent legislation. Where applicable law disallows the exclusion of implied warranties or limitation of liability, the exclusions and limits above apply only to the extent permitted.

10. App Store Terms & Apple Standard EULA

Your use of AudioSnip is also subject to the Apple Media Services Terms and Conditions, including the Licensed Application End User License Agreement ("Apple Standard EULA"). In the event of a conflict between these Terms and Apple's Standard EULA, Apple's terms govern to the extent required. Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, have the right (and are deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.

11. Termination

You may stop using AudioSnip at any time by uninstalling the app from your device and (if you have an active annual subscription) canceling it via your Apple ID settings. We may suspend or discontinue the app, or any part of it, with reasonable notice. If the app is discontinued during an active annual subscription term, Apple is responsible for handling the refund of the unused portion under its refund policy.

12. Changes to These Terms

We may update these Terms from time to time. The revised version will be posted on this page with a new "Last updated" date. Continued use of the app after changes are posted constitutes acceptance of the updated Terms. If a change materially reduces your rights, we will provide a reasonable notice period in the app's release notes.

13. Governing Law & Disputes

These Terms are governed by the laws of the State of Montana, United States, excluding its conflict-of-laws rules. The exclusive venue for any dispute that is not subject to a consumer's mandatory local-law protections (see below) is the state or federal courts located in Yellowstone County, Montana, and you and Cradle of Life LLC consent to the personal jurisdiction of those courts. Formal legal notices, including service of process, should be directed to our registered office: Cradle of Life LLC, Attn: Legal Notices, 301 N. 27th Street, #390, Billings, MT 59101, with a courtesy copy to [email protected]. This choice of law and venue does not deprive you of the protection afforded by any mandatory rules of the law of your country of residence.

Consumer disputes may be brought in the courts of the consumer's habitual residence. EU residents may also access the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr, although we do not currently commit to resolving disputes through any alternative-dispute-resolution body.

14. Reporting Infringement

If you believe content processed by someone using AudioSnip infringes your rights, send a written notice to [email protected] (or by mail to Cradle of Life LLC, Attn: Legal Notices, 301 N. 27th Street, #390, Billings, MT 59101). Please include: (i) a description of the allegedly infringed work; (ii) a description of the allegedly infringing material; (iii) your contact information; (iv) a good-faith statement that the use is unauthorized by the rights holder, its agent, or the law; and (v) a statement, under penalty of perjury where applicable, that your notice is accurate and that you are the rights holder or authorized to act on their behalf. Because AudioSnip does not host user content, we cannot remove material from your device, but we will cooperate with legitimate requests as required by applicable law.
